The client is a large manufacturing firm with global production facilities, employing approximately 3,000 employees. They have an extensive customer base with products that are both commodity as well highly customized. Markets include construction, transportation, medical, electrical, distribution and consumer durable goods. Net sales in 2002 were approximately $750 million. The company is a publicly held corporation and has a long history of excellence in the industry. They are process driven, using an innovative team approach to problem solving and driving change, focusing on partnering with the customer to deliver value added products.

Position Objective:

As this client looks to formulate and realize their business strategies, they are also committed to investing in new, unrelated businesses, which represent emerging, high growth technology industries. This newly created, key corporate business development position will provide support for the advancement of that strategy to expand into high growth potential technology businesses. The position will proactively identify, screen, pursue, evaluate and close acquisitions that fit this standard, ensuring the commercial viability that will ultimately drive shareholder value.

Scope and Accountabilities:

  • Develop relationships in the private equity and investment banking community, as well as targeted industries, to source deal flow that fits the company’s criteria.
  • Evaluate new technologies and markets both internally for existing business lines as well as outside of the company’s existing businesses, and assess their commercial potential. Formulate projections and propose business ventures to pursue.
  • Analyze technical information and perform extensive research, as well as additional activities relevant to corporate business development, including the preparation of presentations for the Board of Directors and executive management.
  • Manage/coordinate due diligence efforts related to opportunities involving the company’s corporate staff and outside consultants. Identify risks and propose alternative structures to mitigate risks involved in potential transactions.
  • Provide solid project management skills for multiple deals. Manage project teams and the coordination of senior management and consultants on the project teams.
  • Prepare the structuring of potential deals and develop supporting materials, as well as conduct complex, challenging negotiations working with Finance, Corporate Counsel and outside counsel.

Education:

Bachelors in technology, engineering or science oriented curriculum. MBA required.

Experience and Skills Required:

The successful candidate must have ten plus years of experience evaluating complex, emerging technologies and markets for commercial potential, with a minimum of 5 years experience in corporate strategy formulation, research and analysis, with an emphasis on corporate acquisitions and due diligence. Combined career experience may include structuring deals within investment banking, private equity and venture capital environments, or technical experience with a start-up or high growth entity. This individual must have a strong background in engineering and/or science and a proven ability to provide hands on research and analysis. He/she must have a demonstrated track record of successfully negotiating and closing complex deals is an absolute. The successful candidate will have a commanding personal presence, with excellent written and verbal communication skills and the ability to sell ideas both internally and externally, providing education and guidance.

Significant domestic and international travel of up to forty to sixty percent required.
